Welcome to TaiMoto. Please read the following to understand the rules and restrictions that govern your use of our website(s), products, services and applications (the “Services“). If you have any questions, concerns, or comments regarding these terms or the Services, please contact us at admin@taimoto.com.
INTRODUCTION AND AGREEMENT
These Terms of Use (the “Terms“) are a binding contract between you and TaiMoto, Inc. (“TaiMoto,” “we” and “us“). Your use of the Services in any way means that you agree to all of these Terms, and these Terms will remain in effect while you use the Services. These Terms include the provisions in this document as well as those in the Privacy Policy. Your use of or participation in certain Services may also be subject to additional policies, rules and/or conditions (“Additional Terms“), which are incorporated herein by reference, and you understand and agree that by using or participating in any such Services, you agree to also comply with these Additional Terms.
Please read these Terms carefully. They cover important information about Services provided to you. These Terms include information about future changes to these Terms, limitations of liability, a class action waiver and resolution of disputes by arbitration instead of in court. Please note that your use of and access to our services are subject to the following terms; if you do not agree to all of the following, you may not use or access the services in any manner.
Arbitration Notice and Class Action Waiver: Except for certain types of disputes described in the arbitration agreement section below, you agree that disputes between you and us will be resolved by binding, individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration.
ACCOUNT AND REGISTRATION
ACCOUNT CREATION AND ACCURACY
- You may be required to sign up for an account, select a password and input an email associated with the account, and provide us with certain information or data, such as your contact information.
- You promise to provide us with accurate, complete, and updated registration information about yourself.
- You may not use as your TaiMoto account name a name or alias that you do not have the right to use, or another person’s name with the intent to impersonate that person.
- You may not transfer your account to anyone else without our prior written permission.
- If you sign up for an account you may receive periodic email notifications and newsletters from TaiMoto. You may opt-out at a later time by contacting support or unsubscribing via the emails (with an “Unsubscribe” link or with a reply).
THIRD PARTY ACCOUNTS
- You may be able to access certain parts or features of the Services by using your account credentials from other services (each, a “Third Party Account“), such as those offered by Google or Linkedin.
- By using the Services through a Third Party Account, you permit us to access certain information from such account for use by the Services.
- You are ultimately in control of how much information is accessible to us and may exercise such control by adjusting your privacy settings on your Third Party Account.
USER REPRESENTATIONS
- You represent and warrant that you are an individual of legal age to form a binding contract (or if not, you’ve received your parent’s or guardian’s permission and agreement).
- If you’re agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to bind them to these Terms.
USAGE RESTRICTIONS
- You will only use the Services for your own internal, personal use, and not on behalf of or for the benefit of any third party.
- You will comply with all laws that apply to you, your use of the Services, and your actions and omissions that relate to the Services (e.g., Employers must comply with all employment-related laws).
- You will not share your TaiMoto account information or password with anyone, and you must protect the security of your TaiMoto account and password and any other access tools or credentials.
- You’re responsible for any activity associated with your TaiMoto account.
SERVICE ROLES AND RESPONSIBILITIES
TaiMoto connects:
- Employers: Those looking to fill positions at their company.
- Candidates: Those looking for job opportunities.
- Referrers: Those looking to refer a Candidate.
When the word “you” is used, it refers to any user. Specific terms (Employer, Candidate, Referrer) apply only to that category of user.
REFERRER TERMS
- Upon registration, each Referrer receives 10 invites to refer Candidates.
- Referrers can earn additional invites once a referred Candidate is placed or removed from the system.
- Referrers maintain “candidate ownership” for a period of 12 months from the date of referral.
- Referrers can earn between 20% to 70% of TaiMoto’s profit from successful placements of Candidates they have referred, depending on the role.
TAIMOTO’S ROLE AND DISCLAIMER
- TaiMoto uses reasonable efforts to screen Employers for service packages without dedicated recruiter support, but Candidates and Referrers are responsible for determining the Employer’s suitability.
- TaiMoto is only responsible for connecting Employers and Candidates.
- TaiMoto is not responsible for:
- Ensuring the Employer is a suitable match for the Candidate.
- Ensuring the Candidate is suitable for the Employer’s job posting.
- Ensuring the accuracy or up-to-date nature of information (including credentials) provided by a Candidate, Referrer, or Employer.
- Controlling the actions of any Candidate, Referrer, or Employer.
Plan 1 Disclaimer: For Plan 1 (self-service package without dedicated recruiter support), you acknowledge that TaiMoto does not supervise, direct, control or monitor the job postings or applications and expressly disclaims any responsibility and liability for the foregoing.
CHILDREN’S PRIVACY (COPPA)
The Children’s Online Privacy Protection Act (“COPPA“) requires parental consent for collecting personally identifiable information online from children under 16.
- We do not knowingly collect or solicit personally identifiable information from children under 16 years of age.
- If you are a child under 16, please do not attempt to register or use the Services.
- If we learn we have collected personal information from a child under 16, we will delete that information as quickly as possible.
EMPLOYER REQUIREMENTS
- No Employer may collect any Candidate Information beyond what is necessary for the Candidate to apply for a job.
- Employers must not use any Candidate Information beyond what is necessary to evaluate suitability for a job.
- If the Employer does not hire the Candidate, the Employer must properly destroy all Candidate Information from or relating to such Candidate and make no further use of it whatsoever.
- Employers must comply with all applicable laws when collecting, using, maintaining, and transmitting Candidate Information.
- Every Employer must sign a recruiting agreement before using the Services.
CANDIDATE AND REFERRER CONSENT
You hereby represent and warrant that you have received explicit consent from each Candidate to share any information relating to such Candidate (including name, contact information, resume, job title, and job history) with TaiMoto and/or with any Employer made available from the Services.
CONTENT AND USER SUBMISSIONS
INTELLECTUAL PROPERTY
- The materials displayed or performed or available on or through the Services (the “Content“) are protected by copyright and/or other intellectual property laws.
- You promise to abide by all copyright notices, trademark rules, information, and restrictions.
- You won’t use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell, commercialize or otherwise exploit any Content not owned by you without prior consent or in a way that violates someone else’s rights.
- TaiMoto grants each user a worldwide, non-exclusive, non-sublicensable and non-transferable license to use Content solely for purposes of using the Services.
- TaiMoto owns the Services. You won’t modify, publish, transmit, or create derivative works based on any of the Services.
USER SUBMISSIONS
- Anything you post, upload, share, store, or otherwise provide through the Services is your “User Submission.”
- You are solely responsible for all User Submissions you contribute.
- You represent that all User Submissions are accurate, complete, up-to-date, and in compliance with all applicable laws.
PROHIBITED USER SUBMISSIONS
You agree not to post, upload, share, store, or otherwise provide any User Submissions that:
- Infringe any third party’s copyrights or other rights (e.g., trademark, privacy rights).
- Contain sexually explicit content or pornography.
- Contain hateful, defamatory, or discriminatory content or incite hatred.
- Exploit minors.
- Depict unlawful acts or extreme violence or animal cruelty.
- Promote fraudulent schemes, MLM, get rich quick schemes, online gaming/gambling, cash gifting, work from home businesses, or other dubious money-making ventures.
- Violate any law.
LICENSE TO TAIMOTO AND USERS
By submitting User Submissions, you grant TaiMoto a worldwide, non-exclusive, perpetual, royalty-free, fully paid, sublicensable and transferable license to use, edit, modify, reproduce, display, perform, and otherwise fully exploit the User Submissions in connection with the site, the Services, and our business (including for promotion), even after termination of your account.
You also grant each user of the Services a non-exclusive, perpetual license to access and use your User Submissions through the Services, even after termination.
CONTENT LIABILITY
- Any information or Content publicly posted or privately transmitted through the Services is the sole responsibility of the person from whom such Content originated.
- You access all such information and Content at your own risk.
- We aren’t liable for any errors or omissions in that Content or for any damages or loss you might suffer in connection with it.
- You release us from all liability for your having acquired or not acquired Content through the Services.
DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA)
We have adopted a policy toward copyright infringement. We reserve the right to:
- Block access to or remove material we believe in good faith is illegally copied copyrighted material.
- Remove and discontinue service to repeat offenders.
If you believe Content infringes your copyright, send a proper notice of infringement to our Designated Agent at: admin@taimoto.com.
THIRD-PARTY SITES AND DISPUTES
THIRD-PARTY LINKS
- The Services may contain links or connections to third-party websites or services not controlled by TaiMoto.
- TaiMoto has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of or opinions expressed in any third-party websites or services.
- By using the Services, you release and hold us harmless from any and all liability arising from your use of any third-party website or service.
USER DISPUTES
- If there is a dispute between participants on the site or Services, or between users and any third party, TaiMoto is under no obligation to become involved.
- If you have a dispute with one or more other users, you release TaiMoto (its directors, officers, employees, etc.) from claims, demands, and damages of every kind or nature arising out of or related to such disputes and/or our Services.
SERVICE CHANGES AND FEES
SERVICE CHANGES
- We’re always trying to improve our Services, so they may change over time.
- We may suspend or discontinue any part of the Services, introduce new features, or impose limits on certain features.
- We reserve the right to remove any Content from the Services at any time, for any reason, in our sole discretion, and without notice.
FEES AND PAYMENT
- Referrers and Candidates have no costs for using the Services.
- Employers pay a fee for using the Services.
- TaiMoto operates without subscription fees. Employers pay a job posting fee, with pricing varying by service plan.
Fee Structure Examples:
- Plan 1 (Self-Service): Employers pay a job posting fee plus a predetermined finder’s fee upon successful Candidate placement.
- Plan 2 (Dedicated Recruiter Support): Employers pay a job posting fee plus an agreed-upon percentage of the placed Candidate’s salary.
PAYMENT PROCESSOR
- We use a third-party payment processor (currently Stripe, Inc.) to bill you.
- The processing of payments is subject to the Payment Processor’s terms, conditions, and privacy policies.
- We are not responsible for any error by, or other acts or omissions of, the Payment Processor.
BILLING ACCOUNT
- You agree to pay all charges and authorize us to charge your chosen payment provider (“Payment Method“).
- You must provide current, complete and accurate information for your billing account and promptly update it.
- If the charge varies from the preauthorized amount, you have the right to receive notice of the amount and date of the charge before the transaction.
TERMINATION
TERMINATION BY YOU
You are free to terminate your account at any time by contacting us using the Employer designated communication channel or by emailing admin@taimoto.com.
TERMINATION BY TAIMOTO
TaiMoto is free to terminate (or suspend access to) your use of the Services or your account for any reason in our discretion, including your breach of these Terms.
SURVIVAL OF TERMS
Provisions that, by their nature, should survive termination of these Terms shall survive termination. This includes, by way of example:
- Any obligation you have to pay or indemnify us.
- Any limitations on our liability.
- Any terms regarding ownership or intellectual property rights.
- Terms regarding disputes, including the arbitration agreement.
REFERRAL PROGRAMS
- TaiMoto may offer rewards or incentives for referring others.
- The referring user (“Referrer“) may refer individuals or entities who are neither current customers nor registered users (“Referee“).
- TaiMoto reserves the right to modify or terminate any special offers at any time and to revoke rewards or incentives if unfair advantage or violation of terms is determined.
WARRANTY DISCLAIMER
The Services and Content are provided by TaiMoto (and its licensors and suppliers) on an “as-is” basis, without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that use of the Services will be uninterrupted or error-free.
LIMITATION OF LIABILITY
To the fullest extent allowed by applicable law, under no circumstances shall any of the TaiMoto Parties be liable to you or to any other person for:
- Any indirect, special, incidental, punitive or consequential damages of any kind (including lost profits or loss of data).
- Any substitute goods, services or technology.
- Any amount, in the aggregate, in excess of the greater of one-hundred ($100) dollars or the amounts paid and/or payable by you to TaiMoto in the twelve (12) month period preceding this applicable claim.
- Any matter beyond our reasonable control.
INDEMNITY
You agree to indemnify and hold the TaiMoto Parties harmless from and against any and all claims, liabilities, damages, losses and expenses (including attorneys’ fees) arising from or in any way related to your use of the Services or your violation of these Terms.
GOVERNING LAW AND ARBITRATION
CHOICE OF LAW
These Terms are governed by and will be construed under the Federal Arbitration Act, applicable federal law, and the laws of the State of California, without regard to the conflicts of laws provisions thereof.
ARBITRATION AGREEMENT
Please read the following ARBITRATION AGREEMENT carefully because it requires you to arbitrate certain disputes and claims.
